Terms of Service

1. What GAMADS is

GAMADS is a managed ad creative generation platform. We orchestrate third-party AI providers (OpenRouter, Kie.ai, Apify) to produce ad copy, images, and audience research for the brands you run. We hold the provider keys and bill you a fixed price per generation — you do not need to bring your own provider accounts.

2. Eligibility and acceptable use

You must be at least 18 years old and have the authority to bind the business or entity on whose behalf you are using GAMADS. You agree not to:

• Use GAMADS to produce ads that violate the advertising policies of the platforms you publish to.
• Scrape, reverse-engineer, or overload the GAMADS platform itself.
• Impersonate any person or misrepresent your affiliation with an organisation.
• Generate content that infringes third-party intellectual property, is defamatory, or is unlawful in your jurisdiction.

3. How payments work

You pay GAMADS for the service. GAMADS in turn pays the third-party AI providers (OpenRouter, Kie.ai, Apify) on your behalf using our own provider accounts. You do not interact with those providers directly and do not need accounts with them.

Pricing is a fixed amount per generation, published in-app and charged at the moment a generation runs. The Brand License (Section 12) and the Studio licence are separate one-time purchases that unlock additional features described elsewhere in these Terms. We do not charge a separate per-provider passthrough.

Legacy bring-your-own-key (BYOK) accounts. A small number of accounts created before our pivot to managed keys retain the option to use their own OpenRouter or Kie.ai keys instead of paying GAMADS per generation. This grandfathered option sunsets on 28 May 2026, after which all accounts move to the managed-key, pay-per-generation model described above. Affected accounts receive notice in advance.

4. Your content and your responsibility

Anything you generate through GAMADS is yours. You own the ad copy, the images, the research reports, the campaign data. You are solely responsible for reviewing, approving, and using any generated output. GAMADS is a tool; you are the advertiser.

5. No warranty on AI output

AI-generated content is probabilistic. It can be inaccurate, biased, or unsuitable for your use case. GAMADS provides the platform "as is" and "as available" without warranty of any kind regarding the accuracy, quality, or suitability of generated output. You must review every piece of output before publishing it or running it as an ad.

6. Intellectual property

The GAMADS platform — its code, design, branding, and infrastructure — is the intellectual property of Bulzay Solutions FZE. Your workspaces, prompts, assets, and generated outputs remain yours. You grant GAMADS a limited, non-exclusive licence to process your inputs solely to deliver the service to you.

7. Payment, refunds, and cancellation

Founder licenses are one-time purchases. If you are an EU consumer, you have 14 days under EU consumer law to withdraw from a purchase, subject to the exceptions in that law (notably, once you've materially used the service, the withdrawal right does not apply). Outside that window, all sales are final.

You can cancel your account at any time from your settings. Cancelling does not automatically trigger a refund.

8. Termination

Either of us can terminate this agreement at any time. GAMADS may suspend or terminate your account if you materially breach these Terms, violate platform safety, or use GAMADS for illegal activity. You may close your account from settings at any time for any reason.

9. Limitation of liability

To the maximum extent permitted by law, GAMADS's total liability to you for any claim arising from or related to the service is capped at the total fees you paid to GAMADS in the twelve months preceding the claim. GAMADS is not liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost advertising spend.

10. Governing law and disputes

These Terms are governed by the laws of the Emirate of Sharjah and the applicable federal laws of the United Arab Emirates. Any dispute you cannot resolve with us informally (we strongly prefer you email first) will be brought before the competent courts of Sharjah, UAE. Nothing in this clause limits your non-waivable consumer rights under the laws of your country of residence, including, where applicable, EU consumer law.

11. Affiliate Program

11.1 Program & Eligibility. Every active GAMADS account holder is automatically enrolled in the Referral Program and assigned a unique referral link in their account dashboard. Use of the link to refer prospective customers, and acceptance of any commission accrued, constitutes acceptance of these Affiliate Terms.

11.2 Commissions & Attribution.Bulzay Solutions FZE pays the referring account holder a commission of twenty-five percent (25%) of the gross amount paid by a referred user for their first GAMADS lifetime licence. Attribution is last-touch: the most recent referral cookie set on a visitor's browser overwrites any prior cookie, persists for thirty (30) days from the link click, and is permanently recorded against the visitor's account upon successful email verification at signup. Commissions accrue in EUR irrespective of the visitor's local currency.

11.3 Approval & Payment.Commissions enter a pending state on accrual and become eligible for approval after fourteen (14) days, during which Bulzay Solutions FZE may reverse, void, or withhold the commission for any reason permitted under these Terms. Approved commissions become payable when an account holder's approved-and-unpaid balance reaches a minimum of fifty Euro (€50). Payment is made manually by Bulzay Solutions FZE on a monthly cadence via PayPal to the email address specified by the account holder. Bulzay Solutions FZE is not responsible for payment-intermediary fees or currency conversion losses imposed by PayPal.

11.4 Refunds & Clawback.Where a referred user's underlying payment is refunded by Bulzay Solutions FZE or charged back through their card issuer, any matching commission then in pending or approved status is automatically reversed (clawed back). Where the matching commission has already been paid out, the equivalent amount becomes a debit on the account holder's affiliate balance and is netted against future commissions; if no future commissions accrue, the account holder remains liable for the debit.

11.5 Prohibited Conduct. The following conduct results in commission forfeiture and may result in account suspension:

• Self-referral, including signing up under one's own referral link with an email address or payment instrument controlled by the referring account.
• Brand-bidding on paid search platforms using "GAMADS" or any confusingly similar variant.
• Misrepresentation of GAMADS, its features, pricing, or guarantees.
• Unsolicited bulk email, comment spam, or any promotion in violation of applicable anti-spam law (including CAN-SPAM, GDPR, and the UAE Cybercrime Law).
• Incentivising clicks via cashback, loyalty points, or other inducements without the referred user's clear understanding that they are clicking a referral link.
• Any use of the affiliate link or commission payout in connection with unlawful activity.

11.6 Tax & VAT. Commissions are paid gross. Each account holder is solely responsible for the declaration and payment of any income tax, VAT, GST, withholding tax, or equivalent charge owed to their tax authority in respect of commissions received. Where the account holder is established in the European Union, the supply of marketing services to Bulzay Solutions FZE (UAE) constitutes a B2B reverse-charge transaction under Article 196 of EU Council Directive 2006/112/EC; the account holder must self-account for VAT in their member state.

11.7 Modification, Suspension & Termination.Bulzay Solutions FZE may modify the commission rate, payout threshold, approval window, or any other Affiliate Term at any time, with thirty (30) days' notice provided in-app or by email. Pending and approved commissions accrued before a change remain governed by the Terms in effect at the time of accrual. Bulzay Solutions FZE may suspend or terminate an account holder's participation in the Affiliate Program at any time for cause, including violation of Section 11.5; in such case, all unpaid pending commissions are forfeited.

11.8 Independent Contractor. Nothing in these Affiliate Terms creates an employment, agency, partnership, or joint-venture relationship between the account holder and Bulzay Solutions FZE. Account holders act as independent contractors and have no authority to bind Bulzay Solutions FZE.

11.9 Governing Law. These Affiliate Terms are governed by the laws of the Emirate of Sharjah, United Arab Emirates, and supplement (do not replace) Section 10 of these Terms.

12. Brand License Terms

12.1 What it covers. A Brand License (€99 EUR, one-time) removes the GAMADS watermark from image generations associated with one brand workspace on your account. Past and future generations on that workspace become clean instantly — we keep both clean and watermarked variants on storage and serve whichever your tier entitles you to.

12.2 Stacking + limits. A single account may hold up to four (4) active Brand Licenses, one per brand workspace. The fifth purchase attempt is blocked by the system; if you need more than four brands we direct you to Studio (€497 founder, €997 public) which includes unlimited brand workspaces.

12.3 Per-workspace, non-transferable. Brand Licenses are bound to the brand workspace active on your account at purchase time. They are non-transferable to other accounts and may not be resold. Deleting the workspace does not entitle you to a refund or to apply the license to a different workspace.

12.4 30-day money-back guarantee. You may request a full refund within 30 days of purchase by emailing ciprian@gamads.net. On refund, the workspace immediately returns to the watermarked state on the next image fetch — refund forfeits the license.

12.5 Upgrades. Studio supersedes Brand License. If you upgrade to Studio after holding one or more Brand Licenses, the Brand Licenses remain on file as historical record but are no longer load-bearing — Studio entitles you to unlimited clean brands. Brand License purchases do not convert into a credit toward Studio.

12.6 Service availability. Brand License entitlements depend on ongoing operation of GAMADS. Sections 6 and 9 of these Terms (Refunds / Liability) apply equally to Brand License purchases.

13. Changes to these Terms

We may revise these Terms as GAMADS evolves. Material changes will be versioned and notified by email or via the app. Continued use after the notice means you accept the revised Terms.
